Purchase Agreement: The “Insurance” for Your Next Investment

Finding the ideal lot to build your home or the perfect space for your business is exciting, but the path to closing can take weeks or even months. During that time, how can you make sure no one else beats you to the property or that the seller doesn’t change their mind?

This is where the Promise to Purchase and Sale Agreement comes in. This preliminary instrument “locks in” the opportunity and ensures both parties keep their word. It’s essentially a formal handshake that protects your investment before the final closing.

Why is it your best strategic ally?

This document is more than just a piece of paper; it gives you a competitive advantage by allowing you to:

  • Secure Exclusivity: You reserve the right to purchase the property you’re interested in.

  • Buy Time: It gives you the time you need to handle administrative procedures, mortgage financing, and legal reviews without pressure.

  • Set Clear Rules: Establish the final price, dates, payment methods, and penalties now, avoiding surprises or unexpected increases.

The Two Pillars: Timing and Amount

To make your promise to purchase successful, you need to master two factors:

  1. The Timing Factor: You negotiate a maximum period for signing the final agreement. As the buyer, this is the time to assess your liquidity and, if you need financing, make sure it’s put in writing!

  2. The Amount Factor: Before negotiating, check your borrowing capacity. Keep in mind that getting financing for land can be more complicated than for a home, so your financial strategy needs to be flawless.

The Perfect Contract Checklist

To make sure your contract is “airtight,” it must include the following:

  • Precise Identification: Cadastral reference, exact address, square footage, and status in the Public Registry of Property.

  • Locked-In Price: The final price is set so it won’t go up by even one peso during the process.

  • The Down Payment: It must be clear how much you’re paying today, that it will be deducted from the total, and that the agreement is valid once the deposit is made.

  • Allocation of Expenses: Who pays for what? Generally, the buyer covers the registration and taxes (ITP or VAT), but everything must be agreed upon.

  • Exit Clauses (Penalties): The well-known “liquidated damages” clause. If someone backs out or hidden defects are discovered, these clauses protect your money.

A Golden Tip

Don’t sign blindly. A promise to purchase is a serious legal commitment. The success of your purchase depends on having the right team: work with an expert attorney, an architect, and an impartial real estate agent who can tailor each clause to your actual needs.

Are you about to take the next step and buy the lot of your dreams? Don’t leave your investment to chance. Tell us in the comments: What’s your biggest question about signing this type of agreement?
